Mergers and Acquisitions

Our corporate department represents clients in domestic and cross-border mergers and acquisitions transactions. Our team members are well experienced in representing the interests of all various parties involved, including the sellers, the purchasers and target companies, and are familiar with the different structures available under applicable law for structuring such transactions, whether through mergers, share swaps, tender offers, sale of assets and of business activities, etc.


Our services cover all stages and aspects of the transaction, beginning with structuring and negotiating the deal terms, through drafting of the transaction documents, performing due diligence review of the target company, providing advice on transaction related issues such as taxation, compensation to employees and securities law, obtaining the required approvals and the consummation and implementation of the transaction.


Our mergers and acquisitions team acts in cooperation with attorneys from other departments of the firm, such as real estate and labor and tax, in accordance with the special characteristics of each transaction.



  • Our firm represented Bio Medical Investments (1997) Ltd. and its shareholders (including Arison Investments and Teva Pharmaceuticals) in the sale of BioMedical to Clal Biotechnological Industries Ltd. in consideration combined of cash payment and equity valued in the aggregate at NIS 84,000,000.

  • Our firm represented Robomatix Technologies Ltd. in a transaction for the sale of Tadiran Telecom - Communication Services in Israel (distributor of Business Systems and Contact Centers) to Afcon Industries Ltd. in consideration for NIS 50,000,000.

  • Our firm represented a group of Israeli and American Investors, among them Plainfield Asset Management, in the purchase of "Gadish" provident fund, the largest provident fund in Israel with more than NIS 20,000,000,000 total managed assets, from Bank Hapoalim for a total consideration of NIS 629,000,000. 

  • Our firm represented Isras Investment Company Ltd (a company traded in the Tel Aviv Stock Exchange) in the purchase of 63% of Ocif Investment and Development Ltd. (a company traded in the Tel Aviv Stock Exchange) in consideration for NIS 135,000,000.
