Our corporate department advises on a regular basis to publicly traded companies on different issues concerning securities law and corporate laws, including with respect to private placements, tender offers, related parties transactions and compliance with the on-going reporting and filing requirements under the securities law and regulations and corporate governance.

 

In the last years, as a result of the global financial crisis and its effect on Israeli companies operating in Israel and abroad, our firm was involved in various arrangements between publicly traded companies and bond holders following failure of such companies to repay their bonds. Our securities teams gained expertise with respect to the different aspects of such arrangements including negotiating with the different "players" involved in the arrangement such as bond holders, trustees, banks and regulatory authorities, tax aspects of the debt restructuring, rights offerings and the required regulatory filings. The teams work in collaboration with our firm's litigation experts with respect to all litigation aspects of such arrangements.

 

Highlights:

  • Our firm represents Elran (D.D.) Investments Ltd. (a public company traded in the Tel Aviv Stock Exchange) in an arrangements with its bond holders and other creditors (debt with total amount of approximately NIS 200,000,000). Such arrangements include, among other things, rights offerings and restructuring of the company’s debt to the bond holders and banks.
     

  • Our firm represented Adler Chomski Marketing Communication Ltd. (the Israeli affiliate of “Grey Group”) in a public offering of shares in an amount of NIS 43,000,000 in the Tel Aviv Stock Exchange, and thereafter in a tender offer for the repurchase of the shares held by the public in consideration for NIS 38,000,000.
     

  • Our firm represented Elran (D.D.) Real Estate Ltd. in a public offering of shares and bonds in a total amount of approximately NIS 180,000,000 in the Tel Aviv Stock Exchange.
